1. About Us

ATOM Group is an AI consulting, custom software development, and data engineering company based in Lagos, Nigeria, serving clients across Africa, Europe, and beyond.

2. Use of Our Site

You may use our Site for lawful purposes only. You agree not to:

• Use the Site in any way that violates applicable laws or regulations
• Attempt to gain unauthorised access to the Site, its servers, or any connected systems
• Introduce malicious code, interfere with the Site's operation, or disrupt its security

3. Services

The specific scope, deliverables, timelines, fees, and other terms of any consulting, software development, or data engineering services we provide will be set out in a separate written agreement, statement of work, or proposal ("Service Agreement") between you and ATOM Group. In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement will prevail with respect to that engagement.

Nothing on this Site constitutes a binding offer to provide services. Any engagement is subject to a mutually agreed Service Agreement.

4. Intellectual Property

• Our content: All content on the Site, including text, graphics, logos, images, and software, is owned by or licensed to ATOM Group and is protected by intellectual property laws. You may not use, reproduce, or distribute our content without our prior written consent, except as permitted by these Terms.
• Project deliverables: Ownership of intellectual property created during a client engagement is governed by the applicable Service Agreement. Unless otherwise agreed in writing, ATOM Group retains ownership of its pre-existing materials, tools, frameworks, and general know-how.
• Your content: You retain ownership of any materials you provide to us. By providing them, you grant us a licence to use them as necessary to perform the services and operate our business.

5. Fees and Payment

Fees for services are set out in the applicable Service Agreement. Unless otherwise stated, invoices are due within the period specified in that agreement. Late payments may be subject to interest or suspension of services as set out in the relevant agreement.

6. Confidentiality

Each party may receive confidential information from the other in the course of an engagement. Both parties agree to keep such information confidential and use it only for the purposes of the engagement, except where disclosure is required by law. Specific confidentiality terms may be set out in a separate non-disclosure or Service Agreement.

7. Disclaimers

The Site and its content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

While we strive for accuracy, we do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that the information on it is complete or current.

Any information provided on the Site is for general purposes only and does not constitute professional, legal, financial, or technical advice.

8. Limitation of Liability

To the maximum extent permitted by law, ATOM Group and its directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Site or our services.

To the extent any liability cannot be excluded, our total aggregate liability arising from your use of the Site is limited to the amount you have paid us, if any, for accessing the Site. Liability arising from a specific engagement is governed by the limitation provisions in the applicable Service Agreement.

9. Indemnification

You agree to indemnify and hold harmless ATOM Group and its directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Site or your breach of these Terms.

10. Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by ATOM Group. We are not responsible for the content, policies, or practices of any third-party sites. Accessing them is at your own risk.

11. Termination

We may suspend or terminate your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is otherwise harmful to us, other users, or third parties. Provisions that by their nature should survive termination, including intellectual property, confidentiality, disclaimers, and limitation of liability, will continue to apply.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of Nigeria, unless otherwise agreed in a Service Agreement.

13. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
